Mosaic to sell its potash assets in Carlsbad, New Mexico

The Mosaic Co. (Tampa, Fla.) announced that it has signed a definitive agreement to sell Mosaic Potash Carlsbad, Inc., including the operations, assets and liabilities of the Mosaic mine in Carlsbad, New Mexico to International Minerals Carlsbad, LLC for $30 million. The transaction includes an initial cash purchase price of $20 million, subject to customary adjustments at closing, and deferred cash consideration totaling $10 million payable in three equal annual installments beginning in 2029. Additionally, International Minerals Carlsbad, LLC will assume responsibility for the asset retirement obligations associated with the Carlsbad operations. Mosaic expects to close the transaction in the first half of 2026 and record a non-cash asset impairment in the fourth quarter of 2025.

International Minerals Carlsbad will assume Mosaic’s potash and water business in New Mexico and related intellectual property, including the K-Mag and Dynamate brands, in the sale.

Our potash production is now entirely focused on our operations in Saskatchewan, Canada which are expected to continue to generate strong returns.”
