Saint-Gobain S.A. (Courbevoie, France) has entered into a definitive agreement to acquire D.S. Brown Co. (North Baltimore, Ohio), a leading North American designer, manufacturer and supplier of highly engineered solutions for bridge, airport and other transportation infrastructure applications.
D.S. Brown offers a full portfolio of solutions, including expansion joint systems, structural bearings, pavement preservation and waterproofing solutions. With annual sales of approximately $90 million expected in 2026, 235 employees and two manufacturing facilities in Ohio and Texas, the company has built a recognized position in transportation infrastructure, supported by its technical expertise and specification-driven business model.
The acquisition will expand Saint-Gobain’s construction chemicals platform in North America and accelerate its penetration of infrastructure markets, supported by the need to modernize existing transport networks and by increased durability and resilience requirements. D.S. Brown is highly complementary with proven solutions from GCP Applied Technologies Inc. (Alpharetta, Ga.), such as Eliminator Bridge Deck Waterproofing and Safetrack Road Maintenance Solutions; Fosroc International Ltd. (Dubai, U.A.E.); Chryso S.A.S. (Courbevoie, France), known for high-performance concrete admixture solutions; and Xypex Chemical Corp. (Richmond, British Columbia, Canada), a provider of crystalline waterproofing technology. This acquisition strengthens Saint-Gobain’s global infrastructure platform by expanding its offering of solutions for the repair, protection and strengthening of civil engineering assets.
The combination will bring significant commercial and operational synergies through cross-selling, specification of high-value-added solutions and innovation opportunities, leveraging Saint-Gobain’s customer base to broaden D.S. Brown’s reach.
The transaction is subject to U.S. antitrust approval and fulfillment of other customary closing conditions. It is expected to close by the end of 2026.
This acquisition is fully aligned with Saint-Gobain’s “Lead & Grow” strategic plan, which aims to accelerate the group’s growth in high-value-added solutions for infrastructure markets, leveraging its established leadership in construction chemicals.
