Tosoh Corp. (Tokyo) has decided to acquire all shares (50%) of Nanyo Kasei Co., Ltd. (Tokyo), a joint venture with Asahi Kasei Corp. (Tokyo). The deal will make Nanyo Kasei a wholly owned subsidiary of Tosoh.
Nanyo Kasei was established in 1980 through equal investment by Nippon Polyurethane Industry Co., Ltd. (now Tosoh) and Asahi Kasei to manufacture hexamethylene diisocyanate (HDI) monomer.
Currently, Tosoh and Asahi Kasei supply raw materials and other inputs to Nanyo Kasei, which manufactures the HDI monomer. Each company then purchases the monomer for its own operations. Tosoh will acquire the 50% of Nanyo Kasei shares held by Asahi Kasei.
Through the full acquisition, Tosoh aims to secure a stable supply of HDI monomer and support the stable operation of its HDI derivatives business. The transaction will also contribute to the stable procurement of HDI monomer for Tosoh’s new HDI derivatives plant, which began commercial operations in September 2026.
Tosoh expects the impact of the transaction on its consolidated financial results for the fiscal year ending March 31, 2027, to be minimal.
